For chatbots, assistants, and AI features powered by xop.ai and deployed by a managed service provider (MSP).
If you are an end user interacting with a chatbot, assistant, or AI feature that is "powered by xop.ai", you are using a product that has been licensed to and configured by your managed service provider, employer, or another organization (the "MSP"). Your relationship with the MSP — including any service agreement, employment terms, or acceptable-use policies — governs your access. xop.ai is a vendor to the MSP and is not a party to that relationship.
These End-User Terms of Use ("Terms") are a limited acceptable-use notice. They are not a commercial agreement. The commercial terms between xop.ai and the MSP are governed separately by the xop.ai Master Services Agreement (the "MSA"). Nothing in these Terms creates a contract between xop.ai and you, modifies the MSA, or grants you rights as a third-party beneficiary of the MSA.
When using a xop.ai-powered chatbot or assistant, you agree not to:
The service uses artificial intelligence to generate responses, summaries, suggestions, and other output ("AI Output"). AI Output may be inaccurate, incomplete, fabricated, biased, or out-of-date, and may not reflect the views or policies of xop.ai or the MSP. AI Output is provided for informational purposes only and is not professional, legal, financial, medical, or technical advice. Do not rely on AI Output for any consequential decision without independent verification. You are solely responsible for any action you take based on AI Output.
xop.ai does not maintain a direct account relationship with you and does not charge you any fees. Access to the service is provided through, and may be modified, suspended, or terminated by, the MSP at any time and for any reason. xop.ai may also suspend or modify the service at the MSP's request, for security reasons, or as necessary to comply with law. xop.ai makes no commitment of availability, uptime, performance, or continuity to you.
Content you submit through a xop.ai-powered chatbot is processed by xop.ai on behalf of the MSP, in xop.ai's role as the MSP's service provider. The MSP determines what data is collected, how it is used, and how long it is retained. Direct privacy-related requests (access, correction, deletion, opt-out) to the MSP first; xop.ai will assist the MSP as required by the MSA.
Our Privacy Policy describes how xop.ai handles data generally. Where the Privacy Policy and the MSP's privacy notice differ for end-user data, the MSP's notice controls.
The service, including all software, models, prompts, branding, and documentation, is owned by xop.ai or its licensors. These Terms grant you no license, ownership, or other right in the service, except a limited, revocable, non-transferable right to use the service as deployed by the MSP, in accordance with these Terms.
The service and all AI Output are provided "as is" and "as available", with all faults, and without warranty of any kind. To the maximum extent permitted by law, xop.ai disclaims all warranties, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, accuracy, non-infringement, quiet enjoyment, and any warranty arising from course of dealing or usage of trade. xop.ai does not warrant that the service will be uninterrupted, secure, error-free, or that AI Output will be accurate, complete, or suitable for any purpose.
To the maximum extent permitted by applicable law, xop.ai will have no liability to you, of any kind, arising out of or related to the service, AI Output, or these Terms, whether based in contract, tort (including negligence), strict liability, statute, or any other theory. Without limiting the foregoing, xop.ai will not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or substitute services, even if advised of the possibility of such damages.
If, despite the foregoing, xop.ai is found liable to you, xop.ai's aggregate liability for all claims arising out of or related to the service or these Terms will not exceed one hundred U.S. dollars (US $100). The parties acknowledge that this allocation of risk is a material basis for making the service available to end users at no charge.
Nothing in these Terms is intended to, or does, create rights enforceable by you under the MSA or any other agreement between xop.ai and the MSP. You are not a third-party beneficiary of any such agreement. To the extent these Terms appear to conflict with the MSA, the MSA controls as between xop.ai and the MSP, and these Terms remain limited to the acceptable-use notice between xop.ai and you.
xop.ai may immediately suspend or terminate your access to the service at any time, with or without notice, for any reason, including suspected violation of these Terms. The MSP may also terminate or modify your access at any time. Sections 2 and 5 through 11 survive any termination.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms or the service will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. If you are a resident of a jurisdiction whose law requires application of local consumer protections, those mandatory protections apply only to the extent they cannot be lawfully waived.
Disputes that involve the underlying service relationship — for example, why the MSP deployed the assistant, what data the MSP collects through it, or what answers the MSP configured it to provide — should be raised with the MSP, not xop.ai.
xop.ai may update these Terms at any time by posting a revised version at this URL with a new effective date. Continued use of the service after the effective date constitutes acceptance.
